These Terms & Conditions ("Terms") govern your access to and use of the Rate Us application and website at https://rateus.app (the "Service"), operated by Rate Us ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Rate Us helps local businesses request Google reviews from their customers via text message, email, and QR code. Features, pricing, and availability may change over time.

2. Accounts

You must provide accurate, current information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account.

3. Subscription & Billing

• The Rate Us Unlimited Reviews plan is billed at $99/year, plus any applicable taxes.
• Unless cancelled, subscriptions renew automatically at the then-current price for successive terms equal to the initial term.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Fees are non-refundable except where required by law or expressly stated otherwise.

4. Acceptable Use

You agree not to use the Service to:

• Send review requests to individuals who have not done business with you or who have not consented to be contacted;
• Offer, request, or incentivize fake, fraudulent, or misleading reviews;
• Violate Google's review policies or any applicable law, including anti-spam and telemarketing laws (e.g., TCPA); or
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service.

You are solely responsible for obtaining any necessary consent from your customers before sending them review requests through the Service.

5. Intellectual Property

The Service, including its software, design, and content, is owned by Rate Us and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your business's internal purposes during your subscription.

6. Third-Party Services

The Service links to and integrates with third-party platforms, including Google, and relies on third-party providers for functions like payment processing and message delivery. We are not responsible for the availability, content, or practices of any third-party service.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific number of reviews, rating outcome, or business result from using the Service.

8. Limitation of Liability

To the fullest extent permitted by law, Rate Us will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service and cancel your account at any time as described in Section 3.

10. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict of laws principles.
